1. Acceptance of Terms
1.1 Binding Agreement
These Terms and Conditions (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and StayHawk. By creating an account, accessing, or using StayHawk’s services (the “Service”), you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety.
1.2 Click-Wrap Consent
You shall not access or use the Service without affirmatively accepting these Terms through an active click on the “I Agree” checkbox presented during account registration. Browse-wrap acceptance (passive browsing) shall not constitute valid consent. No account creation, subscription purchase, or payment processing shall proceed absent this affirmative consent.
1.3 Capacity
You represent and warrant that you are at least 18 years of age (or the age of majority in your jurisdiction) and have the legal capacity to enter into this agreement. If you are entering into these Terms on behalf of a business entity, you represent that you have authority to bind that entity.
1.4 Modifications
We reserve the right to modify these Terms at any time. Material changes shall be communicated via email to the address associated with your account no fewer than thirty (30) days prior to the effective date. Continued use of the Service following notification shall constitute acceptance of the modified Terms. If you do not agree to the modified Terms, your sole remedy is to terminate your account.
2. Description of Service
2.1 Service Overview
StayHawk is a post-booking portfolio management platform that:
- Ingests hotel and accommodation bookings via email forwarding or manual entry
- Tracks cancellation deadlines and delivers alerts before cancellation windows close
- Monitors publicly available hotel pricing data via third-party API services
- Alerts users when potentially lower rates are identified for existing bookings
- Provides a dashboard interface for managing booking portfolios
2.2 Service Tiers
StayHawk offers the following subscription plans:

2.3 No Travel Agency Services
StayHawk is not a travel agency, booking platform, or accommodation provider. We do not sell, resell, broker, or guarantee hotel rooms, rates, or availability. The Service is an informational and organizational tool only. All booking decisions and actions remain solely the User’s responsibility.
2.4 Workspace Model
All data within StayHawk is scoped to “Workspaces.” Each User receives a personal Workspace upon registration. Agency-tier subscriptions create a separate Agency Workspace. Users may belong to multiple Workspaces. Usage limits and billing are enforced at the Workspace level.
3. Account Registration and Security
3.1 Account Creation
To use the Service, you shall create an account through our authentication provider (currently Kinde). You agree to provide accurate, current, and complete information during registration and to maintain the accuracy of such information.
3.2 Account Security
You are solely responsible for maintaining the confidentiality of your account credentials. You shall immediately notify StayHawk of any unauthorized use of your account or any other security breach. StayHawk shall not be liable for any loss arising from your failure to comply with this Section.
3.3 Account Termination
We reserve the right to suspend or terminate your account at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service shall immediately cease. Sections that by their nature should survive termination shall survive, including but not limited to Sections 8, 9, 10, 11, 12, and 13.
4. Payment Terms
4.1 Payment Processing
All payments are processed by Paddle.com Market Limited (“Paddle”), which acts as our Merchant of Record. Paddle is the seller of record for all transactions and handles payment processing, invoicing, sales tax, and VAT. By providing payment information, you agree to Paddle’s Terms of Service and Privacy Policy. StayHawk does not store your full credit card number, CVV, or other sensitive payment credentials on its servers.
4.2 Subscription Billing
Paid subscriptions are billed on a recurring basis (monthly or annually, as selected). You authorize StayHawk to charge your designated payment method for all applicable fees. Subscription fees are non-refundable except as expressly stated herein or as required by applicable law.
4.3 Price Changes
StayHawk may change subscription pricing upon thirty (30) days’ written notice. Price changes shall take effect at the beginning of the next billing cycle following the notice period. If you do not agree to a price change, you may cancel your subscription before the new price takes effect.
4.4 Taxes
You are responsible for all applicable taxes, levies, and duties imposed by taxing authorities. StayHawk shall collect applicable sales tax where required by law.
4.5 Failed Payments
If a payment fails, StayHawk may retry the charge up to three (3) times over a period of ten (10) days. If payment remains unsuccessful, the account may be downgraded to the Free tier or suspended. Outstanding balances remain due and payable.
4.6 Refund Policy
Refunds are issued solely at StayHawk’s discretion. Users may request a refund within fourteen (14) days of initial subscription purchase if the Service has not been materially used (defined as fewer than two bookings ingested). No refunds shall be issued for partial billing periods, downgrades, or unused features.
5. Email Forwarding and Data Ingestion
5.1 Email Forwarding
The Service permits Users to forward booking confirmation emails to a designated StayHawk email address for automated ingestion. By forwarding emails, you represent and warrant that:
(a) You are the rightful recipient or authorized agent of the original booking confirmation;
(b) The forwarded content does not infringe upon any third party’s intellectual property or privacy rights;
(c) You consent to StayHawk processing the content of such emails for the purpose of extracting booking data.
5.2 Parsing Accuracy
StayHawk employs automated parsing to extract booking data from forwarded emails. We do not guarantee 100% parsing accuracy. You are responsible for reviewing and verifying all ingested booking data. StayHawk shall not be liable for any loss arising from inaccurate parsing of forwarded emails.
5.3 Supported Platforms
Parsing support varies by booking platform and email format. StayHawk does not guarantee compatibility with all booking platforms. Unsupported or unrecognized email formats shall be logged for diagnostic purposes and shall not result in silent data loss.
6. Browser Extension and Automated Data Extraction
6.1 Browser Extension Functionality
StayHawk offers an optional browser extension (the “Extension”) that enables Users to import booking data directly from hotel booking platform websites. When activated by the User, the Extension reads the HTML content of the current webpage and transmits it to StayHawk’s servers for automated data extraction. By installing and using the Extension, you acknowledge and consent to this process.
6.2 Data Collection and Processing
When you click “Import This Booking,” the Extension collects the HTML content of the active browser tab and sends it to StayHawk’s servers via encrypted HTTPS connection. The raw HTML is used solely for the purpose of extracting structured booking data (property name, dates, pricing, and related fields). Raw HTML is not permanently stored and is retained only temporarily for diagnostic purposes, subject to automatic deletion within seven (7) days.
6.3 No Guarantee of Extraction Accuracy
StayHawk employs automated techniques including pattern matching, CSS selector-based extraction, heuristic analysis, and machine learning to parse booking data from third-party website HTML. Due to the inherent variability, complexity, and frequent changes in third-party website structures, StayHawk expressly does not and cannot guarantee the accuracy, completeness, or correctness of any data extracted through the Extension or any other automated ingestion method.
Without limiting the generality of the foregoing, StayHawk shall not be liable for any errors, omissions, or inaccuracies in extracted data, including but not limited to:
(a) Incorrect prices, currencies, or payment amounts;
(b) Incorrect or missing check-in dates, check-out dates, or cancellation deadlines;
(c) Incorrect property names, room types, guest names, or booking references;
(d) Missing or misclassified fields arising from changes to third-party website layouts, markup structures, or content delivery methods;
(e) Any financial loss, missed cancellation deadline, overcharge, or other adverse consequence resulting from reliance on automatically extracted data without independent verification.
6.4 User Responsibility to Verify
You are solely and exclusively responsible for reviewing, verifying, and correcting all data extracted by the Extension before saving it to your account. The Extension provides an editable preview of extracted fields specifically to enable you to verify accuracy prior to submission. By clicking “Save Booking,” you confirm that you have reviewed the extracted data and accept it as accurate for your purposes. StayHawk shall bear no responsibility for any consequences arising from your failure to review or correct extracted data.
6.5 Third-Party Website Changes
The Extension’s extraction capability depends on the HTML structure of third-party booking platform websites. These websites may change their markup, layout, or content delivery at any time without notice. StayHawk does not control and is not affiliated with any third-party booking platform. Such changes may cause extraction to fail, return incomplete results, or produce inaccurate data without warning. StayHawk shall use commercially reasonable efforts to update extraction rules but makes no commitment as to the timeliness of such updates.
6.6 Supported Platforms
The Extension currently supports a limited number of booking platforms. StayHawk does not guarantee that extraction will function on all booking platforms or all page types within a supported platform. Extraction is designed to work with booking confirmation pages only and may not produce accurate results when used on search results, property listing pages, or other non-confirmation pages.
6.7 Extension Permissions
The Extension requests only the minimum browser permissions necessary for its functionality. It does not access browsing history, run background scripts on arbitrary pages, or collect data from any page other than the one actively selected by the User at the time of import. Authentication tokens are stored in browser session memory only and are cleared when the browser is closed.
7. Price Monitoring and Alerts
7.1 Third-Party Data
Price monitoring functionality relies on third-party API services (currently SerpApi) to retrieve publicly available hotel pricing data. StayHawk does not independently verify, guarantee, or warrant the accuracy, completeness, timeliness, or availability of pricing data provided by third parties.
7.2 No Guarantee of Savings
Price alerts are informational only. StayHawk does not guarantee that:
(a) A lower price exists or will be available at the time you attempt to rebook;
(b) Displayed prices are current, accurate, or inclusive of all taxes and fees;
(c) Rebooking at a displayed price will result in actual savings after accounting for cancellation fees, currency fluctuations, or other charges;
(d) Pricing data will be available for all properties or all dates.
7.3 Airbnb Limitations
Due to the absence of a publicly available pricing API for Airbnb, StayHawk cannot perform automated price monitoring for Airbnb bookings. Such bookings shall be flagged with a “needs manual check” indicator. StayHawk does not and shall not scrape Airbnb or any other platform.
7.4 Alert Delivery
Alerts are delivered on a best-effort basis via email (AWS SES) and in-app notifications. StayHawk shall not be liable for delayed, undelivered, or missed alerts due to email filtering, spam classification, network issues, or any other cause beyond our reasonable control.
7.5 User Responsibility
All decisions to cancel, rebook, or modify existing hotel reservations are made solely by the User. StayHawk provides information only and does not act on your behalf. You are solely responsible for understanding the cancellation policies, terms, and financial implications of your bookings.
8. Limitation of Liability
8.1 Disclaimer of Warranties
The Service is provided “as is” and “as available” without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. StayHawk does not warrant that the Service shall be uninterrupted, error-free, secure, or free of viruses or other harmful components.
8.2 Limitation of Damages
To the maximum extent permitted by applicable law, in no event shall StayHawk, its officers, directors, employees, agents, affiliates, successors, or assigns be liable for:
(a) Any indirect, incidental, special, consequential, punitive, or exemplary damages;
(b) Any loss of profits, revenue, data, goodwill, or business opportunity;
(c) Any damages arising from missed cancellation deadlines, whether or not alerts were sent;
(d) Any damages arising from reliance on pricing data provided through the Service;
(e) Any damages arising from inaccurate, incomplete, or incorrect data extracted through automated parsing of emails, browser extension imports, or any other ingestion method, including but not limited to incorrect prices, dates, or cancellation deadlines;
(f) Any damages arising from unauthorized access to or alteration of your data;
(g) Any damages exceeding the greater of (i) the total amount paid by you to StayHawk in the twelve (12) months preceding the claim, or (ii) one hundred U.S. dollars ($100.00);
Regardless of the theory of liability (contract, tort, strict liability, or otherwise) and even if StayHawk has been advised of the possibility of such damages.
8.3 Essential Purpose
The limitations in this Section shall apply even if any limited remedy fails of its essential purpose. Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, StayHawk’s liability shall be limited to the maximum extent permitted by law.
8.4 EU/EEA Users
For Users residing in the European Union or European Economic Area, nothing in these Terms shall exclude or limit liability for (a) death or personal injury caused by negligence, (b) fraud or fraudulent misrepresentation, or (c) any liability that cannot be excluded or limited under mandatory applicable law, including consumer protection regulations.
9. Indemnification
9.1 User Indemnification Obligations
You shall indemnify, defend, and hold harmless StayHawk, its officers, directors, employees, agents, affiliates, successors, and assigns (collectively, “Indemnified Parties”) from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees and court costs) arising out of or relating to:
(a) Your use or misuse of the Service;
(b) Your violation of these Terms;
(c) Your violation of any applicable law, regulation, or third-party right;
(d) Any content or data you submit, forward, or transmit through the Service;
(e) Any booking decisions you make based on information provided by the Service;
(f) Any third-party claims arising from your use of the Service in an Agency Workspace, including claims by your clients, customers, or end-users;
(g) Your failure to maintain the confidentiality of your account credentials;
(h) Any dispute between you and a hotel, accommodation provider, or booking platform.
9.2 Indemnification Procedure
StayHawk shall promptly notify you of any claim subject to indemnification and shall provide reasonable cooperation in the defense thereof, at your expense. StayHawk reserves the right, at its own expense, to assume the exclusive defense and control of any matter subject to indemnification, in which case you shall cooperate with StayHawk in asserting any available defenses.
9.3 Scope
This indemnification obligation shall survive termination of your account and these Terms.
10. Dispute Resolution
10.1 Mandatory Binding Arbitration
Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved exclusively through final and binding arbitration, rather than in court, except that either party may seek injunctive or equitable relief in court for intellectual property matters.
10.2 Arbitration Rules
Arbitration shall be administered by the London Court of International Arbitration (“LCIA”) under its Arbitration Rules. The arbitration shall be conducted by a single arbitrator. The seat of arbitration shall be London, England. The language of arbitration shall be English.
10.3 Class Action Waiver
You and StayHawk agree that each party may bring claims against the other only in your or its individual capacity and not as a plaintiff or class member in any purported class, consolidated, or representative action. The arbitrator shall not consolidate more than one person’s claims and shall not preside over any form of representative or class proceeding.
10.4 Jury Trial Waiver
To the fullest extent permitted by law, you and StayHawk waive any right to a jury trial in any action, proceeding, or counterclaim arising out of or relating to these Terms.
10.5 Small Claims Exception
Notwithstanding the foregoing, either party may bring an individual action in small claims court for disputes within such court’s jurisdictional limits.
10.6 EU/EEA Users
For Users residing in the European Union or European Economic Area, mandatory arbitration provisions shall not apply to the extent they conflict with mandatory consumer protection laws. Such Users retain the right to bring claims before the courts of their country of residence and may utilize the European Commission’s Online Dispute Resolution platform.
10.7 Pre-Arbitration Notice
Before initiating arbitration, the complaining party shall send a written notice of the dispute (“Dispute Notice”) to the other party. The Dispute Notice shall include a description of the claim, the specific relief sought, and the parties’ contact information. The parties shall attempt to resolve the dispute informally within sixty (60) days of receipt of the Dispute Notice.
11. Governing Law
11.1 Choice of Law
These Terms shall be governed by and construed in accordance with the laws of England and Wales, United Kingdom, without regard to its conflict of laws principles.
11.2 Jurisdictional Compliance
Notwithstanding Section 11.1, StayHawk acknowledges that Users in the European Union, European Economic Area, and other jurisdictions may be entitled to certain mandatory consumer protections under their local laws. Nothing in these Terms shall be construed to deprive such Users of protections that cannot be waived by agreement under applicable mandatory law.
11.3 Severability
If any provision of these Terms is held to be unenforceable or invalid by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
12. Force Majeure
12.1 General Force Majeure
StayHawk shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including but not limited to:
(a) Acts of God, natural disasters, epidemics, or pandemics;
(b) War, terrorism, civil unrest, or government actions;
(c) Strikes, labor disputes, or supply chain disruptions;
(d) Power outages or utility failures.
12.2 Digital Force Majeure
In addition to the foregoing, StayHawk shall not be liable for failures or degradations arising from:
(a) Cloud Infrastructure Outages: Failures, outages, or degraded performance of cloud service providers (including but not limited to Amazon Web Services, Vercel, and Cloudflare);
(b) Third-Party API Failures: Unavailability, rate limiting, data inaccuracies, or discontinuation of third-party APIs upon which the Service depends (including but not limited to SerpApi, Paddle, and Kinde);
(c) Cybersecurity Incidents: Distributed denial-of-service (DDoS) attacks, ransomware, unauthorized intrusions, or other cyberattacks targeting StayHawk or its infrastructure providers;
(d) DNS and Networking Failures: DNS resolution failures, BGP routing issues, CDN outages, or ISP-level disruptions;
(e) Regulatory and Compliance Actions: Government-mandated shutdowns, data localization requirements, sanctions, or regulatory orders that impede service delivery;
(f) Email Delivery Failures: Failures in email delivery infrastructure affecting booking ingestion or alert delivery, including spam filtering, greylisting, or email provider outages;
(g) Authentication Provider Outages: Failures or unavailability of the authentication provider (Kinde) affecting login or account access.
12.3 Notification
StayHawk shall use commercially reasonable efforts to notify affected Users of a Force Majeure event and its expected duration through available channels.
13. Intellectual Property
13.1 StayHawk IP
All intellectual property rights in and to the Service, including software, design, trademarks, logos, and documentation, are and shall remain the exclusive property of StayHawk. These Terms do not grant you any right, title, or interest in the Service other than a limited, revocable, non-exclusive, non-transferable license to use the Service in accordance with these Terms.
13.2 User Data
You retain ownership of all data you submit to the Service, including booking information and forwarded email content. By using the Service, you grant StayHawk a limited, non-exclusive, worldwide, royalty-free license to process, store, and display your data solely for the purpose of providing and improving the Service.
13.3 Feedback
Any feedback, suggestions, or ideas you provide regarding the Service shall become the exclusive property of StayHawk. StayHawk may use such feedback for any purpose without obligation or compensation to you.
14. Agency Workspace Terms
14.1 Agency Responsibilities
If you create or administer an Agency Workspace, you represent and warrant that:
(a) You have the legal authority to manage booking data on behalf of your clients;
(b) You have obtained all necessary consents from your clients for the processing of their booking data through the Service;
(c) You shall comply with all applicable data protection and privacy laws in connection with your clients’ data;
(d) You are solely responsible for the accuracy of client data entered into the Service.
14.2 Team Access
Workspace administrators are responsible for managing team member access and permissions. StayHawk shall not be liable for actions taken by authorized team members within a Workspace.
14.3 Client Disputes
Any disputes between you and your clients arising from the use of the Service are solely your responsibility. StayHawk is not a party to any agreement between you and your clients.
15. Prohibited Uses
You shall not:
(a) Use the Service for any unlawful purpose;
(b) Attempt to gain unauthorized access to the Service or its infrastructure;
(c) Reverse engineer, decompile, or disassemble any aspect of the Service;
(d) Use automated tools (bots, scrapers, crawlers) to access the Service;
(e) Resell, sublicense, or redistribute the Service or any data obtained through it;
(f) Resell or publicly redistribute pricing data obtained through the Service;
(g) Circumvent or attempt to circumvent usage limits, booking caps, or other restrictions;
(h) Impersonate another person or entity;
(i) Transmit malware, viruses, or other harmful code;
(j) Interfere with or disrupt the Service or servers or networks connected thereto.
16. Data Processing Addendum (Agency Tier)
16.1 Applicability
For Agency-tier Users processing personal data of EU/EEA data subjects, StayHawk acts as a Data Processor under Article 28 of the GDPR. The Data Processing Addendum (“DPA”) incorporated herein governs such processing and is available upon request.
16.2 Sub-Processors
StayHawk engages the following categories of sub-processors: cloud infrastructure (AWS), payment processing (Paddle), authentication (Kinde), price data (SerpApi), email delivery (AWS SES), and frontend hosting (Vercel). A current list of sub-processors is available upon request and Users shall be notified of changes.
17. Miscellaneous
17.1 Entire Agreement
These Terms, together with the Privacy Policy and Cookie Policy, constitute the entire agreement between you and StayHawk regarding the Service and supersede all prior agreements and understandings.
17.2 Assignment
StayHawk may assign these Terms without your consent. You may not assign these Terms without StayHawk’s prior written consent.
17.3 Waiver
The failure of StayHawk to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.
17.4 Notices
Notices to StayHawk shall be sent to legal@stayhawk.app. Notices to you shall be sent to the email address associated with your account.
17.5 Headings
Section headings are for convenience only and shall not affect the interpretation of these Terms.
